Amendments to Terms
Opengates reserves the right to update or modify these Terms at any time to reflect changes in our services, user expectations, or legal requirements. Significant changes will be communicated to users through the Platform, email notifications, or other appropriate means. Users are encouraged to review these Terms periodically to stay informed about updates. Continued use of the Platform after changes have been made constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue using the Platform immediately.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the applicable laws of the jurisdiction in which Opengates operates. By using the Platform, you agree to submit to the exclusive jurisdiction of the relevant courts for the resolution of any disputes or claims arising out of or relating to these Terms, the Platform, or your use of the services. This clause does not restrict your rights under applicable consumer protection laws or other relevant legislation.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be replaced by a valid and enforceable one that most closely matches the intent of the original provision.
Force Majeure
Opengates shall not be held liable for any delay or failure in performance resulting from events or circumstances beyond its reasonable control. These may include, but are not limited to, natural disasters, government actions, pandemics, labor disputes, power outages, or disruptions in telecommunications networks. During such events, Opengates will make reasonable efforts to resume services as soon as possible.
No Waiver
The failure of Opengates to enforce any provision of these Terms shall not constitute a waiver of its rights or remedies under these Terms or applicable law. Any waiver of rights or remedies must be made in writing and signed by an authorized representative of Opengates.
Entire Agreement
These Terms, along with the Privacy Policy, Community Guidelines, and other referenced documents, constitute the entire agreement between you and Opengates. They supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter contained herein.
Language
These Terms are provided in English. If any translation of these Terms conflicts with the English version, the English version shall prevail. Users agree that English will be the language of reference for interpreting and enforcing these Terms.
